Terms of Service
Draft — pending legal review. Not yet in force.
This text is a draft for review by our lawyers. It does not govern your use of Preworld Review until a final version is published here with an effective date. Text in square brackets is still to be decided. When in force, the English version governs; the Chinese version is a translation.
Version: draft of 29 September 2026 · Effective date: [to be set]
1. About these terms
1.1 These terms are an agreement between NICETO LTD, 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ ("we", "us") and the organization that signs up for or orders Preworld Review ("you"). The person accepting them confirms they may bind that organization.
1.2 They apply together with the Acceptable Use Policy, the Data Processing Agreement (which applies whenever we process personal data for you), the Service Level Agreement where your plan includes it, and any order form. If they conflict, the order form comes first, then the Data Processing Agreement, then these terms.
2. Definitions
- Service: Preworld Review, the platform for testing AI agents and chat AIs before release, including the web app, the API, the platform executor, cloud sandboxes, the
reviewctlcommand-line tool and test runner, and this documentation. - Your content: everything you or your users put into the Service or have it collect: projects, tests, test files, configuration, repository contents a sandbox clones, what your AI under test says and does during a run, run bundles and reports.
- AI under test: the agent or chat AI you connect to the Service.
- Run: one execution of your tests, which produces a report.
- Plan: the Free, Team or Enterprise plan described on the pricing page or in your order form.
3. Your account
3.1 You are responsible for your users, for keeping sign-in links, tokens and devices secure, and for everything done through your account. Tell us at once at huanting.w@nice2.io if you suspect unauthorized access.
3.2 Organization owners control your organization's members, policies and connections. Some actions (confirming tests, starting runs, storing secrets, binding repositories) can only be done by a signed-in person in the browser.
4. Using the Service
4.1 During your subscription we grant you a non-exclusive, non-transferable right to use the Service for your internal business purposes, in line with these terms and the Acceptable Use Policy.
4.2 Test environments only. You must connect only test environments, test data and test credentials. You must not connect production systems or put real customers' personal data into the Service unless we have agreed it in writing.
4.3 Authority to test. You must own, or be authorized to test, every AI under test, repository, image, API and system you connect. Security tests may be aimed only at your own AI under test and your own test systems.
4.4 Your AI's actions. During a run your AI under test acts on your test backends with the credentials you give it. You are responsible for what it does there, and for resetting your test backends before a run is started again after one that did not finish.
4.5 Local test runners run on your machines under your control. You are responsible for those machines and for the software you let the test runner start.
5. Your content
5.1 You keep all rights in your content. You grant us the right to host, copy, process and display it only as needed to provide, secure and support the Service, and as the Data Processing Agreement allows.
5.2 We do not use your content to train AI models. We send content to sub-processors (such as the judge model's provider) only to provide the Service; they are listed on the data processing page.
5.3 Secrets you store are sealed so that the Service's API cannot read them back. You can delete them at any time.
6. Third-party services
The Service works with services you choose, such as GitHub, container registries and the model providers your AI under test calls with your own keys. Your use of them is governed by their terms, and we are not responsible for them.
7. Results
7.1 A report records what happened in the runs you asked for: what was tested, the evidence, and a verdict against your pass criteria. A verdict such as "Ready to launch (this scope)" covers only what was tested, under the conditions and number of repetitions you chose.
7.2 Reports use automated checks and AI judge models, which can be wrong. The Service does not guarantee that your AI under test is correct, safe or fit for release. Deciding whether to release it is yours.
8. Fees and payment
8.1 The Free plan costs nothing within its monthly allowance; when the allowance is used up, the Service stops until the next month or an upgrade. Other plans are charged at the prices on the pricing page or in your order form, in pounds sterling, plus VAT where it applies. Usage beyond a plan's allowance (such as sandbox hours and judge model usage) is charged at the published unit prices.
8.2 Monthly plans are paid in advance by card; usage is charged in arrears. Enterprise plans are invoiced [annually in advance], payable within [30] days.
8.3 We may change prices with at least [30] days' notice; a change applies from your next billing period.
8.4 If an amount is overdue, we may suspend the Service after telling you and giving you [14] days to pay.
9. Suspension
We may stop a run, delete a sandbox, revoke tokens or suspend your account, in whole or in part, if you breach the Acceptable Use Policy, if your use puts the Service, other customers or third parties at risk, or if the law requires it. Where we can, we tell you first; otherwise we tell you promptly afterwards and restore access once the issue is resolved.
10. Confidentiality
Each party keeps the other's confidential information confidential, uses it only for this agreement, and shares it only with people who need it and are bound by similar duties. This does not cover information that is public, already known, independently developed or that must be disclosed by law.
11. Intellectual property
We own the Service and everything we provide as part of it. You own your content. If you send us feedback, we may use it without obligation to you.
12. Warranties
12.1 We will provide the Service with reasonable skill and care, and as described in its documentation.
12.2 Except as stated in these terms, the Service is provided without other warranties, including fitness for a particular purpose, to the extent the law allows.
13. Liability
13.1 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
13.2 Neither party is liable for loss of profit, revenue, business or goodwill, or for indirect or consequential loss.
13.3 Each party's total liability under this agreement in any 12 months is limited to [the fees you paid in the 12 months before the claim], except for your payment obligations and [liability under the Data Processing Agreement — to be decided].
14. Term and termination
14.1 This agreement lasts while you have a plan. Monthly plans renew each month and annual plans each year, unless cancelled before the renewal date.
14.2 Either party may end the agreement if the other materially breaches it and does not put it right within 30 days of notice.
14.3 When the agreement ends, you can export your reports for [30] days. After that we delete your content as described in the Data Processing Agreement; backups expire within 90 days.
15. Changes to these terms
We may update these terms. For changes that reduce your rights, we give at least [30] days' notice by email or in the web app. Continuing to use the Service after a change takes effect means you accept it.
16. General
16.1 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
16.2 Neither party is liable for delays caused by events outside its reasonable control.
16.3 You may not assign this agreement without our consent; we may assign it to a successor of our business.
16.4 Notices to us go to [legal notices address]; notices to you go to the email address of your organization's owner.
16.5 These terms, with the documents named in section 1.2, are the whole agreement between us about the Service.
